1. ENGAGEMENT & SCOPE Requirements: The Client shall provide comprehensive requirements, expectations, and reference materials before the commencement of the Work.Warranties of Ownership: The Client warrants that all reference materials and character designs provided are legally obtained and authorized for use. The Client grants the Artist a non-exclusive license to observe and replicate these designs for the completion of the Work.Authority: The Client warrants they have the legal authority to enter this Agreement and shall serve as the primary point of contact for all approvals.Artist Standards: The Artist warrants that the Work is 100% original to the best of their knowledge. The Artist may utilize commercially licensed, copyright-free, or educational assets/tools to complete the Work.Right of Refusal: The Artist reserves the right to refuse any project or request at their sole discretion based on content, subject matter, or workload.Project Proposal: The scope of work, deliverables, and pricing will be defined in a proposal delivered via the Artist's preferred platform (e.g., Discord, Email, or Google Documents). This proposal must be agreed upon by the Client before Work begins.2. CONTENT RESTRICTIONS The Artist will not produce content that is explicit, offensive, or inappropriate. Specific restrictions include, but are not limited to: ▻ ANIMALS (non furry) ▻ BACKGROUNDS ONLY ▻ GORE3. TIMELINE & PROCESS Turnaround Time: The Work requires a minimum of 2 weeks and may take up to 2 months depending on complexity and current workload.Communication of Delays: The Artist shall inform the Client of any significant adjustments to the timeline. Any delay exceeding 2 months beyond the estimated deadline requires mutual agreement through standard communication channels.Delivery: Final deliverables will be provided via Google Drive or a comparable digital file transfer service.Refund Eligibility: If the Work is not delivered within 2 months of the original deadline without a prior agreed-upon amendment, the Client retains the right to request a refund.4. REVISIONS Major Revisions: The Client is entitled to one (1) major revision per stage shown (e.g., sketch, base color).Minor Revisions: Only minor adjustments are permitted after the line art phase is finalized.Additional Fees: Excessive revisions or requests that fall outside the original scope of work may incur additional charges and extend the project timeline. Per every excessive revisions will be charged 10% of the price.5. COMMUNICATION Channels: Official communication shall occur via Discord, Email, X/Twitter, or BlueSky.Response Times: The Artist strives for transparency, but response times may vary up to 1 week to ensure updates are concrete and meaningful.6. RIGHTS & USAGE A. Artist Rights The Artist retains full copyright, ownership, and intellectual property rights to the Work. This includes the right to display, advertise, and distribute the Work (and its progress) on social media, portfolios, and public broadcast channels (e.g., Twitch).B. Client Rights (Personal Use) The Client is granted exclusive, non-transferable rights for Personal Use, defined as:Display on social media for non-monetized promotional purposes (e.g., profile pictures, banners, posts).Personal printing and framing in private spaces.Attribution: The Client must credit the Artist with a visible tag/link/username upon every instance of display.Modifications: The Client may not edit or modify the Work without prior written consent.C. Commercial Rights Commercial rights are not included unless explicitly stated in the commission listing or agreed upon in writing.Commercial Use includes usage on monetized streams, resale, or use as part of a for-profit product.Surcharge: Commercial usage rights require an additional fee of 100% of the original cost unless otherwise specified.AI & Blockchain Prohibition: Usage of the Work for AI (Artificial Intelligence) training, Machine Learning (ML) tools, NFTs, or blockchain-related purposes is strictly prohibited.7. PAYMENTS & FEES Payment Structure: For projects under $150, full payment is required upfront. For higher-value projects, a 50% downpayment is required, with the final 50% due upon the first complete preview of the final deliverables.Deadlines: Invoices must be paid within 72 hours or the project may be cancelled.Digital Goods Policy: The Client acknowledges that the Work consists of digital files; no physical goods will be shipped.Payment Methods: Prices are in EURO and paid via Stripe, PayPal, or other methods as provided by the Artist.Chargebacks: The Client warrants they will not issue chargebacks. Disputes shall be resolved through the refund policy detailed below.8. CANCELLATION & REFUNDS Client Cancellation: If the Client cancels before work begins, a partial refund may be provided at the Artist's discretion (typically 50% of fees may be forfeit if cancelled with less than 2 days' notice).Work in Progress: No refunds are available once the Artist has commenced work, unless initiated by the Artist.Artist Cancellation: If the Artist is unable to complete the project, a full refund will be issued. If the Client accepts and uses partial work completed to that point, a pro-rated partial refund will be applied.9. CONFIDENTIALITY Both Parties agree that non-public information (personal data, technical specifications, or sensitive business plans) shared during the commission process shall be kept confidential and not disclosed to third parties without prior written consent.10. INDEMNIFICATION The Client agrees to indemnify and hold the Artist harmless against any claims, damages, or expenses arising from the Client's use of the Work, breach of this Agreement, or third-party intellectual property claims related to materials provided by the Client.11. ACCEPTANCE Age Requirement: The Client certifies they are at least 18 years of age and legally capable of entering this contract, or have a legal guardian’s consent to do so.Binding Date: This Agreement becomes effective upon the first inquiry, communication, or financial transaction between the Parties.
